By accessing any part of the Shreveport Bossier Live ("SBLive!") website(s), its affiliated email newsletter and email discussion lists, herein referred to as "SBLive! " you are representing that you are either 18 or over the age of 18 and accept all terms of this SBLive! Agreement as delineated below.

This Terms of Use Agreement ("Agreement") sets forth the legally binding terms for your use of the SBLive! Services. By using the SBLive!   2. 2.You are solely responsible for the Content that you post on or through any of the SBLive! Services, and any material or information that you transmit to other Members and for your interactions with other Users. SBLive! does not endorse and has no control over the Content. Content is not necessarily reviewed by SBLive! prior to posting and does not necessarily reflect the opinions or policies of SBLive!. SBLive! makes no warranties, express or implied, as to the Content or to the accuracy and reliability of the Content or any material or information that you transmit to other Members.
Content/Activity Prohibited. The following is a partial list of the kind of Content that is illegal or prohibited to post on or through the SBLive! Services. SBLive! reserves the right to investigate and take appropriate legal action against anyone who, in SBLive!'s sole discretion, violates this provision, including without limitation, removing the offending communication from the SBLive!     1. 1.is patently offensive and promotes racism, bigotry, hatred or physical harm of any kind against any group or individual;
    2. 2.harasses or advocates harassment of another person;
    3. 3.exploits people in a sexual or violent manner;
    4. 4.contains nudity, violence, or offensive subject matter or contains a link to an adult website;
    5. 5.solicits personal information from anyone under 18;
    6. 6.provides any telephone numbers, street addresses, last names, URLs or email addresses;
    7. 7.promotes information that you know is false or misleading or promotes illegal activities or conduct that is abusive, threatening, obscene, defamatory or libelous;
    8. 8.promotes an illegal or unauthorized copy of another person's copyrighted work, such as providing pirated computer programs or links to them, providing information to circumvent manufacture-installed copy-protect devices, or providing pirated music or links to pirated music files;
    9. 9.involves the transmission of "junk mail," "chain letters," or unsolicited mass mailing, instant messaging, "spimming," or "spamming";
    10. 10.contains restricted or password only access pages or hidden pages or images (those not linked to or from another accessible page);
    11. 11.furthers or promotes any criminal activity or enterprise or provides instructional information about illegal activities including, but not limited to making or buying illegal weapons, violating someone's privacy, or providing or creating computer viruses;
    12. 12.solicits passwords or personal identifying information for commercial or unlawful purposes from other Users;
    13. 13.involves commercial activities and/or sales without our prior written consent such as contests, sweepstakes, barter, advertising, or pyramid schemes;
    14. 14.includes a photograph of another person that you have posted without that person's consent; or
    15. 15.for band and filmmaker profiles, uses sexually suggestive imagery or any other unfair, misleading or deceptive Content intended to draw traffic to the profile.
    16. 16.exploits the site with excessive numbers of inflammatory or unpopular forum posts for the primary purpose of increasing search engine ranking of another site, rather than posting to the site in a true desire to contribute content to the community.
The following is a partial list of the kind of activity that is illegal or prohibited on the SBLive! Website and through your use of the SBLive! Services. SBLive! reserves the right to investigate and take appropriate legal action against anyone who, in SBLive!'s sole discretion, violates this provision, including without limitation, reporting you to law enforcement authorities. Prohibited activity includes, but is not limited to:
    1. 1.criminal or tortious activity, including child pornography, fraud, trafficking in obscene material, drug dealing, gambling, harassment, stalking, spamming, spimming, sending of viruses or other harmful files, copyright infringement, patent infringement, or theft of trade secrets;
    2. 2.advertising to, or solicitation of, any Member to buy or sell any products or services through the SBLive! Services. You may not transmit any chain letters or junk email to other Members. It is also a violation of these rules to use any information obtained from the SBLive! Services in order to contact, advertise to, solicit, or sell to any Member without their prior explicit consent. In order to protect our Members from such advertising or solicitation, SBLive! reserves the right to restrict the number of emails which a Member may send to other Members in any 24-hour period to a number which SBLive! deems appropriate in its sole discretion. If you breach this Agreement and send unsolicited bulk email, instant messages or other unsolicited communications of any kind through the SBLive! Services, you acknowledge that you will have caused substantial harm to SBLive!, but that the amount of such harm would be extremely difficult to ascertain. As a reasonable estimation of such harm, you agree to pay SBLive! $50 for each such unsolicited email or other unsolicited communication you send through the SBLive! Services;
    3. 3.covering or obscuring the banner advertisements on your personal profile page, or any SBLive! page via HTML/CSS or any other means;
    4. 4.any automated use of the system, such as using scripts to add friends or send comments or messages;
    5. 5.interfering with, disrupting, or creating an undue burden on the SBLive! Services or the networks or services connected to the SBLive! Services;
    6. 6.attempting to impersonate another Member or person;
    7. 7.for band profiles, copying the code for your SBLive! Player and embedding it into other profiles or asking other Members to embed it into their profiles;
    8. 8.using the account, username, or password of another Member at any time or disclosing your password to any third party or permitting any third party to access your account;
    9. 9.selling or otherwise transferring your profile;
    10. 10.using any information obtained from the SBLive! Services in order to harass, abuse, or harm another person;
    11. 11.displaying an advertisement on your profile, or accepting payment or anything of value from a third person in exchange for your performing any commercial activity on or through the SBLive! Services on behalf of that person, such as placing commercial content on your profile, posting blogs or bulletins with a commercial purpose, selecting a profile with a commercial purpose as one of your "Top 8" friends, or sending private messages with a commercial purpose; or
    12. 12.using the SBLive! Services in a manner inconsistent with any and all applicable laws and regulations.

    You are encouraged to use discretion while browsing the internet on searches initiated at SBLive! website(s). Links originating with SBLive! WEBSITE(S) may lead to websites containing information that some people may find inappropriate or offensive. Links may also lead to websites which contain inaccurate information, false or misleading advertising, or information which violates copyright, libel or defamation laws. SBLive! WEBSITE(S) and information providers make no representations concerning any effort to review all of the content of websites linked to SBLive! Website(s), or links from those linked websites; given the number of results from any browsing which starts with a SBLive! Website(s) link that would be practically impossible. SBLive! Website(s)) may, at its election, provide links from SBLive! Website(s) to other World Wide Web sites or resources. Because SBLive! has no control over such websites and resources, you acknowledge and agree that SBLive! is not responsible for the availability of such external websites or resources, and does not endorse and is not responsible or liable for any content, advertising, products or other materials on or available from such websites or resources. You further acknowledge and agree that SBLive! and information providers shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such website or resource.   4. 6.User's Agreement
    You agree to: (a) maintain all equipment required for your access to and use of SBLive! If SBLive! uses any materials or other information so submitted by you, SBLive! will use reasonable efforts to attribute such materials to you by the name or user name under which you submitted such materials. You hereby waive your moral rights in any such materials and information, and you hereby warrant that any such materials and information are original with you, or that you have the right to submit such materials and information. You agree that you shall have no recourse against SBLive! for any alleged or actual infringement or misappropriation of any proprietary right in your communication to SBLive! Website(s) users, SBLive! Website(s) staff and contributors, SBLive! or its representatives.
  2. 14.Indemnification
    You agree to indemnify, defend and hold harmless SBLive!, its officers, directors, volunteers, employees, agents, advertisers, information providers and suppliers from and against all losses, expenses, damages and costs, including reasonable attorney's fees, resulting from any violation of this agreement or any activity related to use of SBLive! Website(s) (including infringement of third parties' worldwide intellectual property rights or negligent or wrongful conduct) by you or any other person accessing SBLive! Website(s) using your Internet Service Provider account. You may appreciate, however, that the law on this question is not yet settled, and until it is, the risk raised here can be reduced, but it is difficult to know by exactly how much.
  3. 15.Waiver, Release and Limitation of Liability
    You agree that neither SBLive!, nor its officers, directors, employees, agents, information providers or suppliers shall have any liability to you under any theory of liability or indemnity in connection with your use of SBLive! Website(s). You hereby release and forever waive any and all claims you may have against SBLive!, its officers, directors, employees, agents, information providers or suppliers (including but not limited to claims based upon the negligence of SBLive!, its officers, directors, employees, agents, information providers or suppliers) for losses or damages you sustain in connection with your use of SBLive! Notwithstanding the foregoing paragraph, the total liability of SBLive!, its officers, directors, employees, agents, information providers and suppliers, if any, for losses or damages shall not exceed the fees, if any, paid by the user for the particular information or service provided in the 12 months prior to the act of injury that gave rise to the alleged liability. In no event shall SBLive!, its officers, directors, employees, agents, information providers or suppliers be liable to you for any losses or damages other than the amount referred to above.   4. 16.Third Party Rights
    The provisions of paragraphs 13 (indemnification) and 14 (waiver, release and limitation of liability) are for the benefit of SBLive! and its officers, directors, volunteers, employees, advertisers, agents, licensors, suppliers and information providers. Each of these individuals or entities shall have the right to assert and enforce those provisions directly against you on its own behalf.
  5. 17.Term & Termination
    Either you or SBLive! may terminate your right to use SBLive! Website(s) at any time, with or without cause, upon notice. SBLive! also reserves the right to terminate or suspend your SBLive! Website(s) access without prior notice. The provisions of paragraphs 10 (copyright), 12 (license, and idea submission), 13 (indemnification), 14 (waiver, release and limitation of liability), 15 (third party rights), and 19 (miscellaneous) shall survive any termination of this agreement.

  2. 19.Severability
    The provisions of this agreement are severable, and in the event any provision hereof is determined to be invalid or unenforceable, such invalidity or unenforceability shall not in any way affect the validity or enforceability of the remaining provisions hereof.
  3. 20.Miscellaneous
    This agreement shall be governed by and construed in accordance with the laws of the state of Louisiana. You agree that any legal action or proceeding between SBLive! and you for any purpose concerning this agreement or the parties' obligations hereunder shall be brought exclusively in a court of competent jurisdiction sitting in Louisiana, United States. Any cause of action or claim you may have with respect to SBLive! and/or SBLive! Website(s) must be commenced within one (1) year after the claim or cause of action arises. SBLive!'s failure to insist upon or enforce strict performance of any provision of this agreement shall not be construed as a waiver of any provision or right. Neither the course of conduct between the parties nor trade practices shall act to modify any provision of this agreement. SBLive! may assign its rights and duties under this agreement to any party at any time without notice to you. This agreement is not assignable, transferable or sub-licensable by you except with SBLive!'s prior written consent. Both parties agree that this agreement is the complete and exclusive statement of the mutual understanding of the parties and supersedes and cancels all previous written and oral agreements, communications and other understandings relating to the subject matter of this agreement, and that all modifications must be in a writing signed by both parties, except as otherwise provided herein. No agency, partnership, joint venture, or employment is created as a result of this agreement and you do not have any authority of any kind to bind SBLive! in any respect whatsoever. All notices under this agreement will be in writing and will be deemed to have been duly given when received, if personally delivered; when receipt is electronically confirmed, if transmitted by facsimile or email; the day after it is sent, if sent for next day delivery by recognized overnight delivery service; and upon receipt, if sent by certified or registered mail, return receipt requested. SBLive!'s failure to exercise or enforce any right or provision of this agreement shall not constitute a waiver of such right or provision unless acknowledged and agreed to by an authorized representative of SBLive! in writing. It is the express will of the parties that this agreement and all related documents have been written in English. When communicating with any SBLive! staff member or contributor to SBLive! Website(s), English is to be used.
  4. 21.U.S. Export Controls.
Software available in connection with the SBLive! Services (the "Software") is further subject to United States export controls. No Software may be downloaded from the SBLive! Services or otherwise exported or re-exported in violation of U.S. export laws. Downloading or using the Software is at your sole risk.
